Terms of Service
These Terms of Service ("Terms") govern access to and use of any of the Playtopus website, platform, mobile application (if and when one is created) and related services (collectively, the Platform).
About these Terms
The Platform is operated by Playtopus Limited ("Playtopus", "we", "us" or "our"), with company number 17312269, registered address 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ. By downloading the Platform, creating an account, accessing the Platform, creating a Tournament, joining a Tournament, making a payment, communicating with other Users or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
1. Key definitions
In these Terms: "Content" means any information, text, images, videos, messages, reviews, ratings, comments, tournament details or other material submitted or uploaded by a User. "Entry Fee" means any fee payable by a Player in order to participate in a Tournament. "Organiser" means a User who creates, publishes, manages or operates a Tournament through the Platform. "Player" means a User who joins, registers for, participates in or seeks to participate in a Tournament. "Platform" means the Playtopus application, website and related services operated by Playtopus. "Playtopus" means Playtopus Limited. "Tournament" means any sporting competition, league, event, match, competition or activity created, promoted or managed by an Organiser through the Platform. "User" means any individual who accesses, browses, registers for or otherwise uses the Platform, including Players and Organisers.
2. About Playtopus
(a) Playtopus provides an online technology platform designed to connect individuals interested in participating in sporting activities. (b) The Platform enables Users to create profiles, discover other Users, communicate with other Users, organise sporting Tournaments, invite Players to Tournaments, join Tournaments and make payments relating to Tournament entry fees. (c) Playtopus acts solely as an intermediary technology provider. (d) Playtopus does not organise, operate, supervise, control, manage, host, sponsor, referee, endorse or promote any Tournament listed on the Platform. (e) Each Tournament is independently created and operated by an individual Organiser using the Platform. The Organiser is solely responsible for the Tournament they create, including the venue, safety arrangements, Players, rules, conduct and operation of the event. (f) Playtopus does not employ Organisers and Organisers do not act as agents, partners, representatives or employees of Playtopus.
3. Disclaimers
(a) The Platform is made available to you strictly on an 'as is' basis. Without limitation, you acknowledge and agree that Playtopus cannot and does not represent, warrant or guarantee that: (i) the Platform will be free from errors or defects; (ii) the Platform will be accessible at all times; (iii) messages sent through the Platform will be delivered promptly, or delivered at all; (iv) information you receive or supply through the Platform will be secure or confidential; or (v) any information provided through the Platform is accurate or true.
4. Eligibility
(a) You must be at least eighteen (18) years of age to create an account, organise a Tournament, make payments through the Platform or otherwise use the Platform. (b) By using the Platform, you confirm that: (i) you are legally capable of entering into binding contracts; (ii) all information you provide is true, accurate and complete; (iii) you will maintain accurate and up-to-date account information; (iv) your use of the Platform complies with all applicable laws and regulations.
5. User accounts
(a) In order to access certain features of the Platform, Users must create an account. (b) You are responsible for maintaining the security and confidentiality of your account credentials and for all activity that occurs through your account. (c) You must not share your account with another person or permit another person to access the Platform through your account. (d) We reserve the right to suspend, restrict or terminate accounts at any time where we reasonably believe that: (i) This Agreement has been breached; (ii) inaccurate information has been provided; (iii) a User poses a risk to other Users; (iv) a User has engaged in unlawful, abusive or inappropriate behaviour; (v) suspension is necessary to protect the integrity or reputation of the Platform.
6. Acceptable use
(a) Users must not: (i) engage in unlawful, fraudulent or misleading conduct; (ii) harass, threaten, abuse or intimidate another User; (iii) submit false Tournament results; (iv) interfere with the operation of the Platform; (v) attempt to gain unauthorised access to systems or data; (vi) reverse engineer, copy, scrape or exploit the Platform (vii) introduce viruses or malicious code; (viii) use the Platform for any purpose other than its intended purpose. (b) Playtopus may suspend accounts or terminate access for any breach of this clause.
7. User profiles and visibility
(a) The Platform operates by allowing Users to create public-facing profiles which may include photographs, Usernames, sporting interests, skill levels, location information and other information voluntarily submitted to the Platform. (b) By creating a profile, you acknowledge and agree that information you choose to share may be visible to: (i) other Users; (ii) Tournament Organisers; (iii) Tournament Players; (iv) prospective Players. (c) Playtopus merely provides the technological means by which Users can discover and communicate with one another. (d) Users remain solely responsible for deciding what information they disclose through their profile and through interactions with other Users. (e) Playtopus does not guarantee the accuracy, completeness or authenticity of information made available by any User.
8. Communication between Users
(a) The Platform may enable Users to communicate with other Users, send invitations, arrange sporting events and coordinate participation in Tournaments. (b) All communications and interactions between Users occur solely at the Users' own risk. (c) Playtopus has no responsibility for statements, representations, promises, arrangements or agreements made between Users whether through the Platform or otherwise. (d) Users are solely responsible for evaluating whether they wish to engage with another User, participate in a Tournament or arrange any in-person meeting or sporting activity.
9. Data sharing and consent
(a) The purpose of the Platform is to facilitate connections between Users and enable sporting events to be organised. (b) Accordingly, by creating an account and using the Platform, you expressly consent to Playtopus making your chosen profile information available to other Users to the extent reasonably necessary to operate the Platform and facilitate participation in Tournaments. (c) You acknowledge that: (i) Organisers require access to Player information in order to manage Tournaments; (ii) Players require access to certain Organiser information in order to assess and participate in Tournaments; (iii) Users may choose to communicate with one another using functionality provided by the Platform. (d) You remain responsible for determining what information you choose to publish and may update or remove profile information at any time, subject to technical limitations and legal retention obligations. (e) All personal data will be processed in accordance with the Playtopus Privacy Policy found on our website.
10. The nature of Tournaments
(a) Each Tournament listed on the Platform is independently created and operated by a User acting as Organiser. (b) The Organiser is solely responsible for: (i) creating the Tournament; (ii) establishing the Tournament format; (iii) communicating event details; (iv) selecting and arranging the venue; (v) arranging any officials or referees; (vi) managing Players; (vii) making decisions relating to the operation of the Tournament. (c) Participation in a Tournament constitutes an arrangement between the Organiser and the Player. (d) Playtopus is not a party to that arrangement and accepts no responsibility for the conduct, quality, safety, legality or operation of any Tournament.
11. Payments
(a) The Platform facilitates payment processing through Stripe or another authorised third-party payment service provider. (b) By joining a Tournament, a Player authorises Stripe to store and process payment details in accordance with Stripe's terms and conditions. (c) Playtopus does not receive, hold, control, safeguard or administer client monies. (d) At no stage does Playtopus hold Player funds. (e) All payment processing services are provided independently by Stripe.
12. Entry fees, charging process, cancellation and refunds
(a) A Player's payment method may be stored or authorised when joining a Tournament. (b) No Entry Fee will be charged unless and until the Organiser starts or confirms commencement of the Tournament; (c) Where a Player withdraws before commencement of the Tournament and notifies the Organiser in a reasonable time, no Entry Fee shall be charged. (d) Where a Player joins a Tournament but fails to attend without notifying the Organiser, they may lose their entitlement to a refund. (e) Where a Player withdraws after commencement of the Tournament, the Player forfeits any remaining participation rights and will not be entitled to a refund. (f) Where an Organiser removes a Player from a Tournament other than for misconduct, the Player shall be entitled to a full refund. (g) Where a Player is removed for misconduct, Playtopus and/or the Organiser may determine that no refund is payable. (h) Where a Tournament is cancelled before commencement, all Players shall receive a full refund. (i) Where an Organiser cancels a Tournament after Entry Fees have been charged and before completion, all affected Players shall receive a full refund unless otherwise required by law. (j) If an Organiser fails to conduct a Tournament within a reasonable period after commencement is confirmed, Playtopus may instruct the Payment Processor to refund affected Players.
13. Distribution of Tournament fees
(a) Where an entry fee is collected through the Platform, the parties acknowledge and agree that Stripe shall distribute the relevant funds in accordance with arrangements established by Playtopus. (b) Unless otherwise stated on the Platform: (i) ninety per cent (90%) of the entry fee shall be allocated to the Tournament Organiser; and (ii) ten per cent (10%) of the entry fee shall constitute the Playtopus platform fee. (c) Playtopus acts solely as provider of the Platform and does not act as trustee, stakeholder, escrow agent, payment institution or custodian in relation to Tournament fees.
14. Force majeure
(a) Playtopus shall not be responsible for any delay, interruption, cancellation, suspension or failure arising from causes beyond its reasonable control, including adverse weather, natural disasters, strikes, power outages, telecommunications failures, governmental action, civil unrest or venue closure. (b) Organisers remain responsible for determining how affected Tournaments will be managed and whether refunds will be provided in accordance with these Terms.
15. Organiser obligations
(a) Any User who creates a Tournament act as an Organiser for the purposes of these Terms. (b) Organisers agree that they are solely responsible for the planning, administration and operation of their Tournament. (c) Without limitation, Organisers are responsible for ensuring that: (i) Tournament information is accurate and complete; (ii) venues are appropriate for the activity being undertaken; (iii) Players are provided with sufficient information regarding the event; (iv) the Tournament is conducted safely; (v) all applicable laws, regulations and venue requirements are complied with; (vi) any necessary permissions or licences are obtained. (d) Organisers acknowledge that they do not act on behalf of Playtopus and must not represent that they are authorised to bind or represent Playtopus in any manner. (e) Organisers acknowledge and agree that, in no event shall the events they organise include, offer or award prizes (of any nature). Where this occurs, Playtopus reserves the right to remove the Organiser from access to the Platform immediately and any liability arising out of this clause 15(e) shall be borne on the Organiser in its own capacity.
16. Public liability insurance
(a) Each Organiser must obtain and maintain throughout the duration of each Tournament appropriate public liability insurance with a reputable insurer covering the activities undertaken as part of the Tournament. (b) Such insurance must provide cover appropriate to the nature of the Tournament and should include cover for personal injury, death, property damage and other risks reasonably associated with participation in the relevant sporting activities. (c) Playtopus may request evidence of such insurance at any time. (d) Failure to maintain appropriate insurance may result in suspension or removal of the Tournament and termination of the Organiser's account. (e) The Organiser acknowledges that they are solely responsible for determining the level of insurance required for their Tournament. (f) Playtopus does not provide insurance cover for Organisers, Players, spectators, venues or Tournament activities.
17. Player responsibilities
(a) Players participate in Tournaments voluntarily and entirely at their own risk. (b) Each Player is solely responsible for determining whether they possess the necessary fitness, health, experience and ability to participate safely in a Tournament. (c) Players should seek appropriate medical advice before participating in any sporting activity where there is uncertainty regarding fitness or suitability. (d) Players are responsible for ensuring that any equipment used by them is safe, appropriate and fit for purpose.
18. Assumption of risk
(a) The parties acknowledge that sporting activities inherently involve risks which may include physical injury, illness, collision, accidents, falls, equipment failure, property damage and, in exceptional circumstances, serious injury or death. (b) By participating in a Tournament, Players voluntarily assume all risks ordinarily associated with participation in sporting activities and agree that participation is undertaken entirely at their own discretion. (c) Nothing in this clause seeks to exclude liability where such exclusion would be unlawful.
19. Venues
(a) Playtopus does not own, operate, control, inspect, verify or supervise any venue used for a Tournament. (b) The suitability, safety, condition and legality of any venue are matters solely for the Organiser, venue owner and Players (c) Playtopus makes no warranties or representations regarding any venue and accepts no responsibility for losses, injuries, damages or claims arising from any venue used in connection with a Tournament.
20. Insurance disclaimer
(a) Playtopus does not provide insurance protection of any kind for Organisers, Players, spectators, venues, property or Tournament activities. (b) Users are solely responsible for obtaining and maintaining any insurance they consider necessary or desirable in connection with their organisation of or participation in a Tournament. (c) The existence of a Tournament on the Platform does not imply that Playtopus has verified the existence, adequacy or validity of insurance relating to that Tournament.
21. Limitation of liability
(a) To the fullest extent permitted by law, Playtopus shall not be liable for any loss, claim, damage, injury, cost or expense arising out of or connected with: (i) the organisation or operation of a Tournament; (ii) participation in a tournament; (iii) conduct of Organisers; (iv) conduct of Players; (v) property damage; (vi) conduct of spectators; (vii) sporting injuries; (viii) venue conditions; (ix) weather conditions; (x) transport arrangements; (xi) disputes between Users; (xii) User-generated Content; (xiii) communications between Users; (xiv) acts or omissions of third parties. (b) Users acknowledge that Playtopus merely provides a digital platform through which independent Users may connect and arrange sporting activities. (c) Playtopus shall not be responsible for investigating, supervising or monitoring Tournaments and has no obligation to assess the safety, suitability or legality of any Tournament. (d) Nothing in these Terms excludes or limits liability which cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.
22. Indemnity
(a) Organisers agree to indemnify and keep indemnified Playtopus, its directors, officers, employees and affiliates against all claims, proceedings, liabilities, losses, damages, costs and expenses arising from or connected with: (i) their Tournament; (ii) injury to Players; (iii) venue-related incidents; (iv) breach of these Terms; (v) negligence; (vi) regulatory non-compliance; (vii) claims brought by Players, spectators or third parties.
23. Intellectual property
(a) Playtopus retains ownership of all materials developed or provided (or both, as the case may be) in connection with this Agreement and the engagement with you (including text, graphics, logos, design, icons, images, sound and video recordings, pricing, downloads and software) and reserves all rights in any Intellectual Property Rights owned or licensed by it not expressly granted to you. (b) In this clause 9, "Intellectual Property Rights" means all copyright, trade mark, design, patent, semiconductor and circuit layout rights, trade, business, company and domain names, confidential and other proprietary rights, and any other rights to registration of such rights whether created before or after the date of this agreement both in the United Kingdom and throughout the world.
24. Third party content
(a) The Platform may contain text, images, data and other content provided by a third party and displayed on the Platform (Third Party Content). (b) Playtopus accepts no responsibility for Third Party Content and makes no representation, warranty or guarantee about the quality, suitability, accuracy, reliability, currency or completeness of Third Party Content.
25. Third party terms
(a) Any service that requires Playtopus to acquire goods and services supplied by a third party on behalf of you (including a third party payment service) may be subject to the terms and conditions of that third party (Third Party Terms), including 'no refund' policies. (b) Users agree to familiarise themselves with any Third Party Terms applicable to any such engagement.
26. Apple App Store and Google Play
(a) Where the Platform is downloaded through the Apple App Store or Google Play Store, Users acknowledge that Apple and Google are not parties to these Terms and have no responsibility whatsoever in relation to the Platform, any Tournament or any dispute arising between Users. (b) Users must comply with all applicable app store terms and conditions.
27. Content
(a) Users must not upload, publish or transmit User-generated Content that: (i) is unlawful; (ii) infringes intellectual property rights; (iii) is defamatory or misleading; (iv) promotes violence or discrimination; (v) contains malicious software; (vi) impersonates another person. (b) Playtopus may remove User-generated Content without notice where it reasonably believes this clause has been breached.
28. Termination
(a) Playtopus may suspend or terminate a User's access to the Platform where it reasonably considers that: (i) the User has breached these Terms; (ii) the User has engaged in unlawful, abusive, fraudulent or unsafe conduct; (iii) suspension or termination is necessary to protect other Users, Playtopus or the integrity of the Platform; or (iv) Playtopus is required to do so by law. (b) Where reasonably practicable, Playtopus will provide notice of suspension or termination. (c) In the event that a User's account is terminated: (i) the User's access to all posting tools on the Platform will be revoked; (ii) the User will be unable to view the details of all other Users (including contact details, geographic details, any other personal details and service listings or requests); and (iii) the User may be unable to view the details of other Users (including contact details, geographic details and any other details), and all service listings previously posted by the respective User will also be removed from the Platform. (d) Users may terminate their account, and any other membership they hold in connection with the Platform, at any time by using the Platform's functionality, where such functionality is available. Where such functionality is not available, Playtopus will affect such termination within a reasonable time after receiving written notice from the User. (e) Notwithstanding termination or expiry of your account, this Agreement, or any other membership you hold in connection with the Platform, the provisions of Part A and any other provision in this Agreement which by its nature would reasonably be expected to be complied with after termination or expiry, will continue to apply.
29. Governing law and jurisdiction
(a) These Terms and any dispute arising from them shall be governed by the laws of England and Wales. (b) The courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising out of or in connection with these Terms.
